Portfolio transactions have their own unique set of challenges with multiple simultaneous closing and often in different jurisdictions. My experience includes managing portfolio hotel purchases with packages from three to fourteen hotels, including simultaneous closings in multiple provinces. I have also been involved providing advice with respect to numerous hotel portfolio financings, as part of portfolio acquisitions or as refinancings on their own.
I review and provide recommendations to my clients and their professional advisors on how to optimize hotel-related contracts including loan agreements, franchise agreements, hotel management agreements, and leases, ensuring your interests and investments are protected and respected on industry standard terms and conditions.
If they are putting a hotel partnership together, or exiting from or unwinding an existing one, I assist my clients and their professional advisors with respect to deal structuring, foundational business and contractual terms, and principal transaction agreements. I follow through to ensure all transactions are documented and completed. This includes shareholder agreements, joint ventures, co-tenancies, limited partnerships, buy-sell arrangements, and buy-out agreements.
With respect to hotel development sites, I make recommendations with respect transaction terms including purchase and sale agreements, buy-back agreements, restrictive covenants, easement and operating agreements, site plan and development agreements with government authorities, and shareholder or partnership agreements. I also provide recommendations with respect to ground leases as necessary.
